Briefing: How Changing the Merger Review Process May Chill the Economy

The U.S. Justice Department (DOJ) and Federal Trade Commission (FTC) are considering significant revisions both to the merger guidelines used to inform judicial decision making and to the Hart-Scott-Rodino (HSR) premerger notification form. If adopted as proposed, these changes will significantly chill the environment for mergers and acquisitions, and the economy as a whole.
